Richard Rogers concentrates his practice on real estate development, particularly community development projects providing affordable housing, employment and entrepreneurship opportunities, and the adaptive reuse of historic structures. In this practice area, Richard has experience with a variety of funding programs and specialized legal functions, including closing loans with New York State Housing Finance Agency, Housing Trust Fund Corporation, Empire State Development, and other state agencies, Industrial Development Agencies, and Local Development Corporations. This includes preparing and reviewing term sheets and commitment letters, promissory notes, regulatory agreements, residential and commercial leases, intercreditor agreements, and forbearance agreements.

Richard also has extensive experience with federal and state tax credits, having closed many historic tax credit, new markets tax credits, low income housing tax credits, and brownfield tax credit transactions. In this largely corporate practice area, he prepares and negotiates Operating and Partnership Agreements, Development Agreements, Master Lease and Capital Lease Agreements and reviews sophisticated financial projections. He also has extensive experience with real estate conveyances and related title matters, including purchase and sale agreements, easements, lease-leaseback transactions, and has negotiated payment-in-lieu of tax agreements and the effectuation of other real property tax exemptions, including the incorporation and approval of housing development fund companies (HDFCs).

He has also worked on both New York State and federal exempt securities offerings pursuant to Regulation D and Regulation Crowdfunding.
